Mergers & Acquisitions

Our Mergers and Acquisitions practice is the cornerstone of our corporate work, helping clients close billions of dollars’ worth of deals over the past 10 years. We succeed in this area because we understand that lawyers need to be deal makers, not deal breakers. Our attorneys and in-house financial experts work to creatively keep deals moving efficiently toward closing. We also have access to a critical network of relationships with M&A advisors, bankers, accountants, IDA loan advisors, and other professionals to assist in getting deals done.

Representative Matters

Our focus goes beyond document drafting and due diligence; we work closely with our clients and a network of banking, tax, mergers and acquisitions, and financial advisors and professionals to develop and implement the best strategy to achieve our clients’ goals and see their deals to closure.

Our mergers and acquisitions legal team has a depth of experience in structuring M&A transactions on both the buy-side and sell-side across a variety of industries, including healthcare, technology, real estate, and retail. We advise clients on all types of M&A deals, joint ventures, asset sales, and buyouts. We have represented numerous manufacturers acquiring product line vendors and distribution channels. Our team routinely handles high-value transactions and also counsels clients in all aspects of the myriad employment issues that arise in M&A deals.

Our collaboration with the firm’s other practice groups, including Labor & Employment and Environmental & Land Use, complements our mergers and acquisitions experience and helps us assess and execute each matter from key perspectives.

Business Divorce
The firm also has significant experience handling stock/equity purchases and sales when a business partner buys out another (“business divorce”). We are adept at untangling owners’ interests from corporations, LLCs, and partnerships in crisis, working with clients to devise personally tailored solutions to overcome a challenging situation and meet their business and personal goals. The firm has significant experience representing both majority and minority owners of closely held businesses and can effectively handle the intersection of business, legal, and personal issues that arise in business breakups. We also enjoy close working relationships with business and real estate appraisers and valuation experts to help maximize our clients’ investment of capital and time in the entity, whether they are staying or exiting.

Professional Service Firms
As professional service firms on Long Island continue to consolidate to best serve firm partners as well as the clients they serve, CMM has worked with clients making acquisitions or merging all or part of their practice into larger regional firms. CMM has become the premier choice for partners of professional service firms, particularly in the accounting field, exploring upstream mergers, spinoffs, and new opportunities, handling such matters with the utmost confidentiality and professionalism.
