Litigation Paralegal

Duties & Responsibilities

  • Assist attorneys with all types of litigation including the preparation, service, and filing of court documents, with a focus on commercial litigation
  • Assist attorneys with procedural requirements during all stages of litigation
  • Preparation of legal documents including drafting of pleadings, motions, discovery demands and responses, stipulations, settlement documents, notice of appeal, etc.
  • Conduct legal research
  • Clearly and concisely draft letters and emails
  • Service and filing of legal documents, including e-filing
  • Maintain attorney calendars with key dates, deadlines, and court appearances
  • Communicate with clients, court personnel, and adversaries
  • Manage special projects as needed
  • Preparing documents and exhibits, including bookmarking, OCRing, and Bates stamping
  • Appropriately track and bill time

Qualifications

  • Bachelor’s degree required; paralegal certificate a plus
  • At least 3-4 years of commercial litigation paralegal experience in a law firm or in-house position preferred
  • Experience with personal injury litigation a plus
  • Experience with billing software and e-filing preferred
  • Capable of managing and prioritizing a large caseload and calendar
  • Proficient with workplace software, including Microsoft Office Suite (including Word, Excel, and Outlook) and Adobe Pro
  • Outstanding verbal and written communication skills
  • Efficient, detail-oriented and highly organized
  • Self-starter and able to work independently as well as part of a team

Corporate Paralegal

  • Manage and help conduct due diligence projects for M&A deals including maintaining virtual data rooms (VDR)
  • Stay on top of deals and transactions in progress to keep them moving toward closing by maintaining files, checklists, and deal trackers
  • Coordinate M&A closings and prepare related documents
  • Organize and maintain corporate records
  • Clearly and concisely draft letters, emails and documents
  • Maintain calendars with key dates and deadlines
  • Communicate with clients and adversaries
  • Conduct legal research
  • Prepare and file various corporate and legal documents and prepare exhibits
  • Manage special projects as needed

Qualifications

  • Bachelor’s degree required; paralegal certificate a plus

  • Strong computer skills required as well as proficiency with workplace software, including Microsoft Office Suite and Adobe Pro

Duties & Responsibilities

  • Assist in all aspects of M&A transactions
  • Review and interpret contract terms and be able to clearly and concisely communicate the meaning and implications of, as well as advise on, those terms
  • Draft a variety of business contracts including asset and stock purchase agreements, license agreements, partnership agreements, supply agreements, employment-related agreements, joint venture agreements
  • Negotiate contracts with opposing counsel
  • Regularly engage with in-house counsel
  • Regularly engage and communicate with clients by phone and email
  • Advise clients on legal changes impacting their business
  • Assist other attorneys with contract review and other projects as needed
  • Provide other legal advice and participate in special projects and initiatives as needed

Qualifications

  • Admitted to practice in New York State with at least 3-5 years of relevant corporate experience
  • Ability to work well under pressure and handle and prioritize multiple matters
  • Impeccable attention to detail and strong organizational skills
  • Demonstrated excellence in research, writing, and legal analysis
  • Must be proficient in Microsoft Office
