CMM has been recognized by Forbes as a Top Corporate Law Firm in America. Only 243 of the more than 40,000 law firms in the United States – less than 1% – were named to the Forbes list. Our attorneys have been owners, executives, board members, and general counsel of companies public and private, international and local, large and small. This hands-on experience has made our Corporate department one of the most robust and fastest-growing on Long Island and in the New York metropolitan area. Our goal is to become our clients’ strategic partners, guiding them through all stages in the life of their business.
Corporate Transactions
Our corporate law department at Campolo, Middleton & McCormick has extensive experience in all varieties of corporate transactions including joint ventures, licensing, supply and distribution arrangements, asset sales and purchases, stock sales and purchases, mergers and acquisitions, investments of all types and sizes, corporate restructuring and tax-free reorganizations, shareholder/member buyouts, and business divorce matters. We draft and negotiate all types of corporate business agreements including management, executive compensation, employment, stock option, stock and phantom stock, equity subscription, loan documents, equity/debt financing, investment, confidentiality/non-disclosure, non-compete, non-solicitation, supply, licensing, reseller, distributor, joint venture, vendor/service provider, service level agreements, and leases. We also advise clients on requests for proposals (RFPs) across a variety of sectors on the federal, state, and local level. The firm is also experienced in handling organizational, restructuring and workout matters. Please also visit our Mergers & Acquisitions page.
Business Divorce
When relationships among owners of privately held business sour, it can be virtually impossible for the business to move forward. If business partners can no longer work together, often the best option for all parties is a “business divorce.”
Our corporate law attorneys have extensive experience navigating stock/equity purchases and sales when one or more partners buy out the other(s). We are adept at untangling owners’ interests from corporations, LLCs, and partnerships in crisis, working with clients to devise personally tailored solutions to overcome a challenging situation and meet their business goals. The firm has significant experience representing both majority and minority owners of closely held businesses and can effectively handle the intersection of business, legal, and personal issues that arise in business breakups. Additionally, we have extensive experience in family-run businesses and the more complex and intense disputes that arise when these types of businesses experience the need for a buy out of less than all of the ownership interests of the family. We identify and implement tactics and strategies that are designed to get both sides to the table so that an effective business deal can be achieved. We also enjoy close working relationships with real estate appraisers and business valuation experts to help maximize our clients’ investment of capital and time in the entity, whether they are staying or exiting.
The firm prides itself on successfully negotiating resolutions without resorting to litigation, but should the need arise, our attorneys have the critical experience to handle business divorce matters in court. Please also visit our Litigation page.
Corporate Formation & Corporate Governance
Startups and entrepreneurs turn to us for advice on corporate formation issues including entity selection, real estate leasing and acquisition, financing, and drafting of organizational documents including simple or complex shareholder and operating agreements.
Our Corporate law team serves in a general counsel role for many of our long-time clients, advising them on compliance issues, day-to-day operations, and best practices.
Corporate Finance and Private Capital Raising
Our Corporate attorneys have significant experience in the heavily regulated area of equity raises and private financing. We represent companies in connection with private placements, convertible notes, SAFEs, and are well versed in securities-related filing requirements on the state and federal level. The firm has worked extensively with private equity funds, venture capital funds, and their portfolio companies, as well as real estate investment and development companies, startups, and closely held companies seeking to raise funds for expansion of business offerings.
Construction
Our attorneys possess firsthand knowledge of the construction client’s perspective, having worked in the industry themselves. Our construction clients include owners, real estate developers, design-builders, general contractors, trade subcontractors, architects, engineers, construction managers, and program managers who focus on a wide range of commercial, industrial, residential, infrastructure, and energy/utility projects, as well as schools, colleges/universities, libraries, hospitals, courthouses, and a variety of municipal projects. Energy and Utility
Our lawyers have significant experience in the energy and utility sectors, assisting clients with siting and developing projects, general corporate matters, mergers and acquisitions, regulatory, land use and zoning issues, and telecommunications matters. Attorneys on our team have worked for and with the major utility companies in our region, including LIPA, Con Edison, PSE&G, Eversource, Iberdrola, and National Grid, working on various capital improvement and infrastructure projects including the lease financing of a 250 Megawatt electric generating station in New York City, the turn-key construction of a 34 Megawatt solar farm on Long Island, oil and gas pipeline construction, wind farms, battery storage, overhead and underground electric transmission and distribution projects, and substation construction and upgrades, as well as experience working for corporations and developers focused on utility infrastructure and renewable energy markets.
Not-For-Profit
As board members of nonprofit organizations across Long Island, our attorneys are personally invested in working with charitable organizations. Some of our attorneys sit on the boards of non-for-profit entities, so they know the workings of non-for-profit entities from the inside out. We guide not-for-profit entities through start-up and development initiatives, routine operational matters, and more complex concerns and organizational issues including compliance, fiduciary responsibility, and board member obligations.
Financial Services
We serve as general counsel for mortgage companies, banks, and other financial institutions, counseling clients on a variety of matters including corporate governance, financing, restructuring, and anti-money laundering. We handle a wide range of lender-financed transactions, advising institutional clients on workouts and enforcement matters. The firm also has extensive experience counseling banks and other financial institutions on employment-related matters.
