Headed by Marc Alessi, an experienced navigator of the entrepreneurial ecosystem on Long Island and in New York State, our Startups group is comprised of attorneys who are entrepreneurs themselves and have lived the challenges emerging companies face. We advise entrepreneurs and startups in virtually every industry on all matters pertaining to the life cycle of their business. We also serve in a general counsel role for many of our startup clients, serving as a resource for them for all of their day-to-day legal and business needs.
Formation and Structuring
We assist clients in selecting an entity type and formation jurisdiction based on their unique tax, corporate governance, and financing concerns. We prepare formation documents and handle corporate filings. We also draft corporate governance documents including shareholder and operating agreements, taking into account our clients’ vision of how their companies should be governed.
Financing and Capital Raising
We help our clients obtain bank financing, obtain IDA incentives, and apply for SBA loans. We have built strong relationships with lenders across Long Island and New York State and have facilitated many partnerships between our clients and connections. Our attorneys also have significant experience in private financing, having worked extensively with angel investors, private equity funds, venture capital funds, and their portfolio companies. We also review business plans with an eye toward obtaining necessary financing.
Intellectual Property and Licensing
Our multifaceted Startups practice includes intellectual property lawyers with a wealth of experience counseling emerging companies on how to protect their ideas. We are well versed in domestic and international trademark prosecution and registration, registration of copyrights, and the patent application process. Our team guides clients through the licensing of their innovations across a variety of sectors and drafts licensing, end-user, and coexistence agreements.
Compensation and Employment Issues
We help startups develop and execute their team-building plans, working with them on a variety of employment matters including equity and other compensation, non-competition and employment agreements, and the myriad labor and employment issues that emerging companies face as they become employers, including the development of employment policies and documents.
Our team negotiates and reviews leases for our startup clients as well as contracts of sale for real estate. We also assist with financing in the real estate arena.
